Terms of Service

I. General Information and Seller Details

These Terms of Service govern the rules for using the online store available at lioncutppf.manus.space (hereinafter: "Store") and the conditions for concluding sales agreements for digital products. II. Definitions

**Store** – the online store at lioncutppf.manus.space through which the Customer may purchase Products. **Seller** – SANLITE Sp. z o.o., details as in §I. **Customer** – a natural person with full legal capacity, a legal entity, or an organisational unit without legal personality, making purchases in the Store. **Consumer** – a Customer who is a natural person making a purchase not directly related to their business or professional activity. **Product** – a LionCut software licence or m² credit package available in the Store, delivered in digital form (activation codes). **Order** – a declaration of intent by the Customer to conclude a Sales Agreement, submitted via the order form in the Store. **Sales Agreement** – a sales agreement for a Product concluded between the Customer and the Seller through the Store.

III. Ordering Process and Conclusion of Agreement

Orders may be placed 24/7 through the order form available in the Store. An order is placed after: a) selecting a Product and clicking "Buy License", b) completing the order form (billing details), c) accepting these Terms and the Privacy Policy, d) selecting a payment method and completing payment. The Agreement is concluded upon the Seller's confirmation of order acceptance sent to the Customer's e-mail address. The Seller reserves the right to refuse orders that raise reasonable doubts as to their authenticity. The Customer is required to provide accurate and up-to-date information in the order form.

IV. Prices and Payment Methods

All prices in the Store are gross prices (inclusive of VAT) expressed in Polish Zloty (PLN) or Euro (EUR), depending on the selected language version. The Seller offers the following payment methods: a) Credit/debit card or bank transfer – processed via Stripe (for customers outside Poland), b) Electronic payment – processed via PayU (for customers in Poland), c) Apple Pay and Google Pay – available through Stripe. Payment should be made immediately after placing an order. Unpaid orders may be cancelled after 24 hours. Card payments are processed by Stripe Payments Europe, Ltd. and PayU S.A. (Poznań, Poland). Card data is not stored by the Seller.

V. Delivery of Digital Products

Products offered in the Store are digital in nature and are delivered exclusively in electronic form – as activation codes sent to the e-mail address provided by the Customer. Delivery occurs promptly upon payment confirmation, no later than 24 hours after payment is confirmed. If activation codes are temporarily unavailable, the Seller will notify the Customer immediately and deliver the codes within 48 hours. The Customer is responsible for providing a correct e-mail address in the order form. The Seller is not liable for non-delivery of codes resulting from an incorrect e-mail address provided by the Customer.

VI. Right of Withdrawal

Pursuant to Art. 38(13) of the Polish Consumer Rights Act of 30 May 2014, a Customer who is a Consumer does not have the right to withdraw from a contract for the supply of digital content not delivered on a tangible medium, if performance has begun with the Consumer's express consent before the withdrawal period has expired and after the Seller has informed the Consumer of the loss of the right of withdrawal. By placing an order and accepting these Terms, the Customer expressly consents to the immediate delivery of the digital content (activation code) and acknowledges that upon delivery of the code, the right of withdrawal is lost. This does not affect the Customer's rights arising from the warranty for defects in the Product.

VII. Complaints and Warranty

The Seller is liable for the conformity of the Product with the agreement under applicable law, including the Consumer Rights Act and the Civil Code. Complaints may be submitted: a) by e-mail to: [email protected] b) in writing to: ul. Leśna 1, 42-256 Zrębice, Poland A complaint should include: the Customer's name, e-mail address, order number, description of the defect, and the Customer's request. The Seller will respond to the complaint within 14 calendar days of receipt. Failure to respond within this period means the complaint is considered justified. In the case of a justified complaint, the Seller will, at its discretion or at the Consumer's choice, replace the activation codes or refund the price paid.

VIII. Out-of-Court Dispute Resolution

A Customer who is a Consumer has the right to use out-of-court methods of resolving disputes: a) Permanent Consumer Arbitration Court at the relevant Provincial Trade Inspection Inspectorate, b) Mediation proceedings conducted by the Provincial Trade Inspection Inspector, c) Free assistance from the district (municipal) consumer ombudsman, d) EU Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr The Seller is not obliged to participate in out-of-court consumer dispute resolution proceedings but expresses willingness to resolve disputes amicably.

IX. Personal Data Protection

The data controller for Customers' personal data is SANLITE Sp. z o.o. The principles of personal data processing, including Customers' rights, are described in detail in the Privacy Policy available at /privacy. Personal data is processed for the purpose of fulfilling orders, handling complaints, and – with separate consent – for marketing purposes.

X. LionPoints Loyalty Programme

The LionPoints programme is a loyalty programme available to registered Customers of the Store. Points are awarded for purchases and other activities in accordance with the current programme rules. LionPoints are locked for 7 days from the date of award and cannot be redeemed for rewards during this period. The lock is designed to protect against abuse in the event of order cancellation or refund. The Seller reserves the right to void LionPoints in the event of technical errors, abuse, attempts to manipulate the system, or other irregularities. Points earned as a result of a software bug, exploit, or in violation of programme rules are not recognised and may be removed without prior notice. The Seller may change the rules of the LionPoints programme at any time, including the value of points, available rewards, and conditions of participation. Points have no monetary value and cannot be exchanged for cash.

XI. Final Provisions

Matters not regulated by these Terms are governed by Polish law, in particular the Civil Code, the Consumer Rights Act of 30 May 2014, and the Act on the Provision of Electronic Services of 18 July 2002. The Seller reserves the right to amend these Terms. Registered Customers will be notified of changes by e-mail at least 14 days in advance. Changes do not affect orders placed before the effective date of the changes. The court with jurisdiction to resolve disputes with Customers who are not Consumers is the court having jurisdiction over the Seller's registered office. For Consumers, jurisdiction is determined by general rules. These Terms are effective from 21.03.2025.
